These Terms of Service ("Terms") govern your access to and use of Vril Chat, including the website, applications, APIs, messaging systems, company pages, brand pages, organization tools, and related services (collectively, the "Service"). The Service is operated by Vrilsoft Inc. ("Vrilsoft", "we", "us", or "our").

By creating an account, accessing the Service, creating or managing a page, publishing content, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian, and you may be subject to prove you have obtained permission from a parent before using our services.

You are responsible for maintaining the confidentiality of your credentials, devices, authentication methods, and any encryption PINs associated with your account.

You are responsible for all activity conducted through your account, including activity performed through linked devices, connected sessions, bots, API integrations, company pages, or delegated administrators.

You agree to:

• Provide accurate and current registration information.
• Maintain the security of your account and connected devices.
• Notify us promptly of unauthorized access or suspected compromise.
• Not share accounts in violation of organizational or security policies.

We reserve the right to suspend, restrict, verify, or terminate accounts that violate these Terms, create security risks, impersonate others, engage in abuse, or expose Vrilsoft or users to legal liability.

3. Acceptable Use

You agree not to:

• Use the Service for unlawful, deceptive, abusive, or fraudulent activity.
• Harass, threaten, stalk, intimidate, or exploit other users.
• Upload malware, ransomware, spyware, or malicious code.
• Attempt unauthorized access to systems, accounts, or infrastructure.
• Scrape, crawl, reverse engineer, benchmark, or overload the Service without written authorization.
• Impersonate individuals, brands, organizations, or public figures.
• Use misleading identities, fake engagement, or coordinated inauthentic behavior.
• Distribute spam, scams, phishing attempts, or deceptive advertising.
• Publish unlawful, defamatory, infringing, or privacy-violating content.
• Use automated systems or bots in a manner that disrupts the Service.
• Sell, transfer, or commercially exploit accounts without authorization.
• Evade enforcement actions, bans, or moderation systems.

4. User Content

You retain ownership of content you submit, upload, publish, transmit, or display through the Service ("User Content").

By submitting User Content, you grant Vrilsoft a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, distribute, and display that content solely for the purpose of operating, improving, securing, and providing the Service.

You represent and warrant that:

• You own or have rights necessary to publish the content.
• Your content does not violate laws or third-party rights.
• Your content does not contain malicious or harmful code.

We may remove, restrict, flag, demonetize, disable, or review content when required by law, legal process, intellectual property claims, safety concerns, platform integrity concerns, or violations of these Terms.

5. Messaging, Communications, and Encryption

The Service may include direct messaging, group messaging, media sharing, encrypted communications, voice, video, or collaboration features.

While certain features may use encryption or enhanced privacy protections, no system can be guaranteed completely secure. You are responsible for protecting your devices, credentials, recovery methods, and encryption PINs.

You acknowledge that:

• Message delivery may be delayed, filtered, or unavailable.
• Deleted messages may persist temporarily in backups or system logs.
• Users may capture or redistribute content outside the Service.
• Abuse reports may include copies of messages or uploaded media.

6. Company Pages, Brand Pages, and Organizations

The Service may allow users to create or manage company pages, brand pages, organization profiles, public communities, creator profiles, or business identities ("Pages").

If you create or administer a Page, you are solely responsible for:

• The accuracy of published business or brand information.
• Content posted by your organization or page administrators.
• Obtaining rights to logos, trademarks, images, and promotional materials.
• Compliance with advertising, consumer protection, and disclosure laws.
• Managing administrator access securely.

You may not:

• Create fake or misleading company or brand identities.
• Misrepresent affiliation with another organization.
• Infringe trademarks, copyrights, or intellectual property.
• Purchase, sell, or transfer Pages in unauthorized ways.
• Artificially manipulate engagement metrics or followers.

Vrilsoft reserves the right to reclaim, suspend, rename, restrict, verify, or remove Pages that violate these Terms, infringe rights, create confusion, or expose users or Vrilsoft to risk.

7. Intellectual Property

The Service, including software, branding, interfaces, graphics, infrastructure, and related technology, is owned by Vrilsoft or its licensors and is protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sublicense, sell, lease, decompile, or create derivative works from the Service.

8. Third-Party Services and Links

The Service may integrate with APIs, hosting providers, authentication systems, analytics providers, payment processors, or third-party platforms.

We are not responsible for third-party websites, products, services, advertisements, integrations, or content linked from user profiles, company pages, or external sources.

9. Moderation and Enforcement

We may investigate violations of these Terms and take actions including:

• Content removal or visibility reduction.
• Warnings or temporary restrictions.
• Page or account suspension.
• Permanent account termination.
• Referral to law enforcement where legally required.

We may act proactively to protect platform integrity, user safety, infrastructure security, legal compliance, or intellectual property rights.

10. Availability and Service Changes

We may modify, suspend, discontinue, or limit features, APIs, pricing, storage limits, availability, or functionality at any time without liability.

We do not guarantee uninterrupted, secure, or error-free operation.

11. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, OR RELIABILITY.

VRILSOFT DOES NOT GUARANTEE THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VRILSOFT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR SECURITY BREACHES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid to use the Service during the previous 12 months; or
• One hundred U.S. dollars (USD $100).

13. Indemnification

You agree to indemnify and hold harmless Vrilsoft, its affiliates, officers, employees, contractors, and partners from claims, damages, liabilities, losses, and expenses arising from:

• Your use of the Service.
• Your User Content.
• Your Pages or organizations.
• Your violation of these Terms or applicable law.
• Your infringement of third-party rights.

14. Account and Data Deletion

You may request deletion of your account and associated personal data at any time through the Data & account deletion page while signed in.

Before submitting a request, you must review the profile information shown on that page and confirm that you want your data destroyed and your account deleted. Submitting a confirmed request is irreversible: your account will be deleted, you will be signed out, and you will not be able to sign in again using that account.

After a confirmed request, your account will no longer appear in search, friend lists, messaging, or other public areas of the Service. Messages and content you previously shared may remain visible to other participants in the conversations where they were posted, unless removal is required by law or our policies.

We may retain certain records where required by applicable law, to resolve disputes, enforce these Terms, prevent fraud or abuse, or protect the security and integrity of the Service. Our Privacy Policy describes how we handle personal data, including deletion requests.

15. Termination

You may stop using the Service at any time.

We may suspend or terminate access immediately if we reasonably believe:

• You violated these Terms.
• Your activity creates legal, operational, or security risks.
• Termination is required by law or regulatory obligation.

Provisions that by nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Vrilsoft Inc. operates, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
